These Terms of Service ("Terms") form a binding agreement between Medonix Inc. ("Medonix," "we," "us") and you or the entity you represent ("Customer," "you"). By accessing https://medonix.io or any Medonix product, you accept these Terms.
1. Services
Medonix provides revenue cycle management software and services, including the modules listed on our website (medical billing, coding, denial management, AI agents, dashboards, and related tools). Specific deliverables, scope, and SLAs for paid customers are documented in an Order Form or Master Services Agreement (MSA) executed between the parties.
Where these Terms conflict with a signed MSA, the MSA controls.
2. Eligibility
Medonix services are intended for U.S. healthcare providers and their business associates. You must be at least 18 years old and authorized to bind the entity you represent. We reserve the right to refuse service.
3. Accounts and access
You are responsible for maintaining the confidentiality of credentials issued to your users and for all activity under those credentials. Notify us promptly at hello@medonix.io of any unauthorized access. We may suspend access to address security incidents, fraud, or violations of these Terms.
4. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract source code from our products.
- Use the services to violate law, infringe rights, or process data without lawful basis.
- Introduce malware, attempt to defeat access controls, or interfere with other customers.
- Use automated tools to scrape, copy, or systematically access content beyond rate limits.
- Resell, sublicense, or use the services on behalf of unauthorized third parties.
5. Protected health information
When Medonix processes PHI on your behalf, we operate as a business associate under HIPAA. A mutually executed Business Associate Agreement (BAA) governs PHI handling. See our BAA page for the standard terms; entity-specific BAAs are executed during onboarding.
6. Fees and payment
Fees for paid services are set out in the applicable Order Form. Fees are due as specified; past-due amounts accrue interest at 1.5% per month (or the maximum allowed by law). You are responsible for taxes other than those based on Medonix's net income. Performance-based fee adjustments tied to SLAs are described in the Order Form.
7. Intellectual property
Medonix retains all right, title, and interest in our software, dashboards, AI models, documentation, and trademarks. You retain all right, title, and interest in your Customer Data. You grant Medonix a limited license to process Customer Data solely to provide the services described in your Order Form.
8. Confidentiality
Each party will protect the other's Confidential Information with the same degree of care it uses for its own (and no less than reasonable care) and will use Confidential Information only for purposes of these Terms or a related agreement.
9. Warranties and disclaimers
Medonix warrants that the services will be performed in a professional manner consistent with industry standards. Except as expressly stated, the services are provided "as is." To the maximum extent permitted by law, Medonix disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
Except for breaches of confidentiality, indemnification obligations, or willful misconduct, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid by Customer in the twelve months preceding the event giving rise to liability.
11. Indemnification
Medonix will defend Customer against third-party claims that the services, as provided, infringe a U.S. patent, copyright, or trademark, and will indemnify Customer for damages and costs awarded by a court of competent jurisdiction. Customer will defend Medonix against third-party claims arising from Customer Data, Customer's use of the services in violation of these Terms, or Customer's violation of law.
12. Term and termination
These Terms remain in effect while you use the services. Either party may terminate for the other's material breach not cured within 30 days of written notice. On termination, we will return or destroy Customer Data per the Order Form and applicable retention laws.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The parties consent to exclusive jurisdiction in the state and federal courts located in Delaware for any dispute not subject to arbitration. Class actions are waived.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use of the services after the effective date constitutes acceptance.
